Upon full payment, clients own the intellectual property rights to custom-developed deliverables specifically created for them, subject to any pre-existing IP or third-party components.
We retain ownership of our methodologies, tools, templates, and pre-existing intellectual property used in delivering services.
Any third-party software, tools, or components remain the property of their respective owners and may be subject to separate licensing terms.
Both parties agree to maintain the confidentiality of proprietary information disclosed during the engagement. This obligation survives termination of services.
Confidential information does not include information that: (a) is publicly available; (b) was known prior to disclosure; (c) is independently developed; or (d) is required to be disclosed by law.
